Report Title: Purchase Order with Red Gate Software Limited

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, a purchase order with Red Gate Software Limited, a United Kingdom corporation, in an amount not to exceed $32,000 and a Redgate End User License Agreement, for the purchase of server analytics software for the period from April 13, 2024 through April 12, 2027.
FISCAL IMPACT:
Approval of this action will result in expenditures of up to $32,000 over a three-year period and will be funded by Hospital Enterprise Fund I revenues.
BACKGROUND:
Contra Costa Health Services (CCHS) has a successful track record of utilizing Redgate SQL server software for over 10 years. Chosen for its robust capabilities as a server management tool, Redgate software provides real-time server status monitoring, server performance statistics, backup, and documentation application. Historically, this service has been paid through a purchase order without a license agreement. County Counsel guidance requires that processing this renewal involves submission to the Board of Supervisor for approval. The Health Services IT Procurement team is actively engaged in collaborative efforts with the vendor and stakeholders to ensure purchases are processed in accordance with County policy and submitted at least 180 days in advance of expiration, aiming to mitigate potential delays in the future.
The Redgate Master Perpetual End User License Agreement requires the County to indemnify Redgate for any third-party claims resulting from the County's use of the services in violation of the agreement. The agreement limits Redgate’s liability to no more than the total amount paid by the County in the twelve-month period prior to any claim. The agreement is governed by the laws of New York and permits Redgate to modify the agreement unilaterally without notice to County.
CONSEQUENCE OF NEGATIVE ACTION:
Failure to approve this action will disrupt CCHS's continuity in leveraging Redgate as a reliable server management tool, leading to potential consequences such as the interruption of critical server monitoring, and comprised data security.
