From:                                          Dr. Grant Colfax, Health Services Director

Report Title:                      Purchase Order with WASH Multifamily Acquisition Inc.

Recommendation: Recommendation of the County Administrator

RECOMMENDATIONS:

APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, a purchase order with WASH Multifamily Acquisition Inc. in an amount not to exceed $44,460 and a rental agreement effective the first day of delivery and for twelve (12) months thereafter, then auto-renewing for four (4) successive one-year terms for laundry equipment for Delta Landing.

FISCAL IMPACT:

Approval of this action will result in expenditures of up to $44,460 funded 100% by California Housing and Homelessness Incentive Program (HHIP).

BACKGROUND:

Delta Landing Shelter provides emergency shelter and interim, non-congregate housing for single adults or couples. In addition to providing basic needs of shelter, shower, food, and clothing, the program includes care coordination and housing location services assisting residents with move-in and short-term rental assistance where appropriate. In addition to housing, employment, and clinical support services, the program offers on-site health care services provided by the county and linkages to legal aid and other social and human resource services.

In early June, Health, Housing, and Homeless Services (H3) assumed responsibility for operating the shelter after the former property management contractor unexpectedly terminated its contract, effective May 31, 2026. Since then, H3 has been working to address several operational and facility issues inherited from the former management, including unusable laundry machines.

The agreement requires the county to indemnify, defend and hold WASH Multifamily Laundry Systems harmless from any claim arising out of or resulting from the possession, use or operation of the equipment and all related utilities, except to the extent caused by the sole negligence of WASH, its employees or agents. This includes a liability waiver for WASH and its employees and agent for any claims of loss and damage to the Equipment, exclusive of the sole negligence by WASH, its employees or agents, and WASH is not liable or responsible for any repairs necessitated by negligence or misuse of persons other than WASH, accidental damage to the Equipment, or any act or cause beyond the normal and reasonable operation of the Equipment. The Renter shall, to the fullest extent allowed under applicable law, indemnify, defend, and hold WASH harmless from and against any and all claims, actions, suits, proceedings, costs, expenses, damages, and liabilities, including reasonable attorneys’ fees, arising out of or resulting from the possession, use, or operation of the Equipment and all related utilities. WASH shall be entitled to receive from the Renter reasonable costs and attorneys’ fees incurred by WASH in the retaking of the Equipment or in otherwise enforcing WASH’s rights under the agreement.

CONSEQUENCE OF NEGATIVE ACTION:

Failure to approve this action would cause undue hardship to the vulnerable population residing at Delta Landing Shelter as washer installation is an urgent health and sanitation need.
