RECOMMENDATIONS:
APPROVE and AUTHORIZE the Executive Director to execute the Exclusive Negotiating Rights Agreement (ENRA) with the Community Housing Development Corporation of North Richmond (CHDC) and Eden Housing to acquire, for appraised fair market value, the 11.38-acre former Las Deltas public housing development main campus.
BACKGROUND:
On May 20, 2025, the Housing Authority Board of Commissioners authorized HACCC to enter into negotiations with CHDC and Eden Housing to draft an Exclusive Negotiating Rights Agreement (ENRA). The ENRA would be brought to HUD and this Board for approval prior to transferring the property to them. The ENRA addresses the terms of the purchase price, timeline of the development activity and the required commitments of the developer as a condition of winning the bid to purchase and develop the former Las Deltas property.
Since then, HACCC has been actively negotiating a final ENRA that is acceptable to the agency and to the Master Developers. The document was presented to HUD on July 22, 2026 for review and approval. HUD has responded that they are not required to approve the ENRA but will be involved at the time of the final transfer of the property. Accordingly, we now bring this before the Board for review and authorization to execute the ENRA as we stated we would do in the May 20, 2025, Board Order.
The ENRA states that the parties will have 18 months to negotiate a Master Development Agreement that will memorialize the details of the planned housing development at the former Las Deltas public housing main campus. It further specifies that the transfer of the property will be conducted in two phases. One phase will be, upon Eden Housing securing entitlements for the senior apartment complex, HACCC will have the site appraised and sell the applicable parcels at that time. Phase two will include CHDC securing entitlements for the remainder of the main campus for homeownership opportunities and a new appraisal commissioned to determine the sales price for those parcels.
Approval and execution of the ENRA will begin the 18-month period whereby the entitlements are pursued, and the Master Development Agreement is crafted.
FISCAL IMPACT:
Based on existing appraisals, HACCC will receive approximately $5,500,000 for the sale of the main campus. Closing costs and realtor fees will be paid from these funds. Final proceeds may change in response to market fluctuations and buyer response. All proceeds will be used for affordable housing purposes.
CONSEQUENCE OF NEGATIVE ACTION:
Should the Board of Commissioners elect not to approve and adopt Resolution No. 5277 authorizing the Executive Director to execute the Exclusive Negotiating Rights Agreement (ENRA) with the Community Housing Development Corporation of North Richmond (CHDC) and Eden Housing to acquire, for appraised fair market value, the 11.38-acre former Las Deltas public housing development main campus, planned development of the former Las Deltas main campus will have to return to the negotiating table and further delay the development of the new housing.
