RECOMMENDATIONS:
APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County (1) Amendment to Master Services Agreement with Vizient, Inc., a corporation, effective April 1, 2024, to amend Master Services Agreement Contract #76-789 (amended by Amendment Agreement #76-789-1), to increase the payment limit by $64,040, from $435,000 to a new payment limit of $499,040, and to extend the termination date from December 31, 2026 to September 30, 2027, and (2) a Patient Safety Organization Service Statement of Work (SOW) for patient safety organization services for Contra Costa Health (CCH).
FISCAL IMPACT:
Approval of this amendment will result in additional annual expenditures of up to $64,040 and will be funded 50% by savings realized through the Vizient group purchasing agreement and 50% Hospital Enterprise Fund I revenues.
BACKGROUND:
Vizient, Inc., provides expertise, analytics and advisory services through solutions and services that improve the delivery of high-value care by aligning cost, quality, and performance. This statement of work meets the needs of CCH by providing patient safety organization (PSO) services for Contra Costa Regional Medical Center (CCRMC).
Healthcare delivery systems are required to engage with PSOs per the Patient Safety and Quality Improvement Act of 2005, which authorizes the creation of PSOs to conduct activities to improve the safety and quality of patient care by creating a legally secure environment where clinicians and healthcare organizations voluntarily report, aggregate and analyze data, to reduce the risks and hazards associated with patient care. CCH is a Provider as defined in 42 C.F.R. Part 3, SubPart A, Section 3.20, that desires to collect and voluntarily report information to a PSO on a privileged and confidential basis, as provided for under the Public Safety Act, for analysis of patient safety events to improve patient safety and the quality of health care services. The PSO will work directly with RLDatix (utilizing County Contract #23-776) for data transferring; service deliverables include individualized, evidence-based recommendations and coaching, analytic support, and guidance on understanding the Patient Safety Act.
On December 13, 2022, the Board of Supervisors approved Contract #76-789 with Vizient, Inc., authorizing the execution of the Master Services Agreement executed between the parties on October 1, 2022, and a Group Purchasing Organization SOW, for CCRMC for the period from October 1, 2022, through September 30, 2025
On October 17, 2023, the Board of Supervisors approved Contract #76-789-1 with Vizient, Inc., in an amount not to exceed $435,000, for the execution of a Supply Chain Consultant Statement of Work (under the MSA dated October 1, 2022) for the period November 1, 2023, through December 31, 2026.
Under this Contract Amendment Agreement #76-789-2, the parties will execute (1) amendment to the MSA to extend the term through September 30, 2027, and revise the insurance and liability sections, and (2) execute the PSO SOW under the MSA. The term of the PSO SOW is from the effective date and continues for 36 months; thereafter the term will automatically renew for twelve (12) month terms until terminated.
Approval of this Contract Amendment Agreement #76-789-2 allows the contractor to provide services through September 30, 2027. Except claims arising out of a party’s indemnity obligations, breach of the business associate agreement, or any confidentiality provisions of the agreement, each party’s maximum liability is limited to the annul service fees and reimbursable expenses in the applicable statement of work.
CONSEQUENCE OF NEGATIVE ACTION:
If this contract is not approved, CCRMC may not be able to comply with the Patient Safety and Quality Improvement Act of 2005 at the level necessary to ensure patient care and operations are not negatively affected.
