RECOMMENDATIONS:

APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, an amendment to purchase order #29472 with Atlassian US, Inc. to increase the payment limit by $33,694 to a new amount not to exceed $227,159 for Jira project management software licenses, with no change to the original term ending February 14, 2027.

 

FISCAL IMPACT:

Approval of this action will result in additional expenditures of up to $33,694 and will be funded by Hospital Enterprise Fund I revenues.

 

BACKGROUND:

Contra Costa Health (CCH) has successfully utilized Atlassian Jira since 2017. Jira was selected for its capabilities as a cloud-based work management tool which centralizes project details in real-time, facilitating the flow of up-to-date information across individuals, teams, and tools. After reviewing alternatives, Jira was chosen for its functionality and cost-effectiveness. The Department uses Jira for issue tracking and project management, managing the entire process of procurement requests, software tasks, features, and improvements from initial concept and prioritization to release.

 

The Atlassian Cloud Terms of Service require the County to indemnify Atlassian for any third-party claims resulting from the County's use of the services in violation of the Terms of Services. The terms exclude Atlassian from liability for lost data and limits Atlassian's liability to no more than the total amount paid or payable by the County in the twelve-month period prior to any claim. The Terms and Conditions permit Atlassian to modify the Terms and Conditions unilaterally with notice to County.

 

On January 9, 2024 the Board of Supervisors approved item C.55 to execute purchase order #29472 with Atlassian US, Inc., in an amount not to exceed $175,000, and ACCEPT Atlassian Cloud Terms of Services, for the purchase of Atlassian Jira work management software for the period from January 11, 2024, through February 14, 2027.

 

In June 2025, the Purchasing Agent executed an amendment to purchase order #29472 to increase the payment limit by $18,465 to a new amount not to exceed $193,465 to cover related subscription renewal cost increase. The agreement was not modified in connection with the increase.

 

On February 2, 2026 the Purchasing Agent approved the continued use of Atlassian US, Inc.

 

Approval of this action will allow the Department to cover the upcoming renewal for the Jira system, which the Department uses to manage and track procurement work. Since the original purchase order was executed in 2024, the license level has been upgraded to better meet operational needs, which contributes to the increased cost. After applying credits for unused time on the current subscription, the renewal amount results in a net total of $33,694.

 

CONSEQUENCE OF NEGATIVE ACTION:

If this action is not approved, the County may be unable to process the forthcoming Atlassian invoice in a timely manner, which could result in delayed payment and potential impacts to continued access to Jira Software licensing needed for procurement operations.
