RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, a one-time purchase order with Henry Schein, Inc. in an amount not to exceed $62,357, the Standard Terms of Sale and Supplemental Terms and Conditions for the purchase of DCI Edge Series 5 patient chairs and components for Contra Costa Regional Medical Center (CCRMC).
FISCAL IMPACT:
Approval of this action will result in a one-time expenditure of up to $62,357 and will be funded by Hospital Enterprise Fund I revenues.
BACKGROUND:
CCRMC currently has a dental chair and is no longer able to obtain replacement parts or perform repairs, as the original manufacturer is out of business. When the manufacturer ceased operations, they did not provide guidance or a statement regarding infection control protocols for the existing chairs. As a result, staff are required to flush the water lines weekly using a bleach and water solution, a process that is time-consuming, potentially hazardous to employees, and corrosive to the equipment. Therefore, new chairs are necessary to ensure safe and efficient operations for the mobile dental clinics at CCRMC.
Using the informal bid process, CCRMC received quotes from DCI Edge, Benco Dental, and Henry Schein, Inc. The proposed replacement chairs from Henry Schein, Inc. are the same model recently purchased by the Ambulatory department, and the hospital’s infection control managers have established approved protocols for maintaining the water lines on these units. The DCI Edge Series 5 is a line of dental operatory equipment designed to enhance clinical efficiency, patient comfort, and ergonomic flexibility. It includes dental chairs, delivery systems, and LED operator lights. The Series 5 LED operatory lights provide advanced illumination with no-touch activation, adjustable light patterns, and a 3rd-axis head rotation for adaptable lighting during procedures.
Henry Schein’s Standard Terms of Sale include a limitation of liability provision in which CCRMC agrees to look solely to the manufacturer for any claims arising from loss, injury, damage, or death related to the use or sale of the products. Additionally, Henry Schein shall not be liable to CCRMC for any indirect, incidental, punitive, special, or consequential damages, including but not limited to lost profits or loss of goodwill, arising from or relating to any breach of this agreement or any common law duty, whether or not caused by the negligence of Henry Schein or its affiliates, regardless of notice of the possibility of such damages.
Approval of this action is essential to ensure CCRMC has the necessary equipment and resources to maintain operational efficiency, uphold patient safety, and comply with current clinical standards.
CONSEQUENCE OF NEGATIVE ACTION:
If this action is not approved, CCRMC will face operational delays, increased risks for patient and staff safety, and challenges in maintaining compliance with required clinical standards.
