RECOMMENDATIONS:

APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County Contract #23-839 with Panda Health, Inc., a corporation, in an amount not to exceed $55,000, to provide a digital information technology supplier marketplace for Contra Costa Health the period from June 4, 2024 through June 3, 2027.

 

FISCAL IMPACT:

This contract will result in contractual service expenditures of up to $55,000 over a 3-year period and will be funded 100% by Hospital Enterprise Fund I.

 

BACKGROUND:

The Panda Health Marketplace is a proprietary, member-only, digital health service platform that allows members to access solution and security evaluation, market information and includes a portfolio of pre-negotiated digital health contracts that provide market and comprehensive supplier intelligence and solutions that connect suppliers with hospitals and other health care facilities.

 

Under Contract #23-839, the parties will execute a Panda Health Member Agreement with an initial term of three (3) years, that shall automatically renew for successive periods of one (1) year (each, a “Renewal Term”) until terminated. This contractor has been approved by the Public Works Department’s Purchasing Division on January 24, 2024. Measurable outcomes include the contractors’ response to county’s inquiries within one (1) business day, quarterly meetings for strategic business review, and a digital health evaluation with recommendations for improvement and implementation strategies. This contract was approved by Heath Services Personnel to ensure there is no conflict with labor relations.

 

Approval of this new Contract #23-839 allows the contractor to provide its digital health platform through June 3, 2027. The agreement obligates County to indemnify Panda Health against claims arising out of County’s: infringement of intellectual property rights of any third party; failure to comply with a supplier agreement; breach of the agreement; and violation of applicable laws. Panda Health’s liability under the agreement is limited to the amount of fees paid to them in the twelve (12) months preceding any claim.

 

CONSEQUENCE OF NEGATIVE ACTION:

If this contract is not approved, the department will not have access to the digital marketplace, losing easy access to facilitate faster and more informed decision-making in selecting digital health solutions.
