Report Title: Purchase order with Adobe reseller, Saitech, Inc. and Adobe Enterprise Agreement for Adobe document formatting software Licensing and Support
Recommendation: Recommendation of the County Administrator

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, on behalf of the Chief Information Officer, to execute a purchase order with Adobe reseller, Saitech, Inc., in an amount not to exceed $1,600,000, and an Adobe Enterprise Agreement for Adobe document formatting software Licensing and Support, for the period of September 24, 2026, through September 23, 2029.
FISCAL IMPACT:
The cost of this product is included in the department’s FY 26-27 budget (100% User Departments).
BACKGROUND:
The Department of Information Technology’s Management Division (TMD) team centrally manages and administers Adobe licenses across multiple County departments and participating agencies to ensure operational efficiency, cost-effective license utilization, and compliance with Adobe licensing requirements. TMD staff assist departments in selecting the appropriate Adobe licensing plans, providing centralized license administration, assign and reassign licenses as staffing needs change, monitor license usage, ensure compliance with licensing terms, and provide technical support to end users.
This purchase will provide County with continued access to Adobe’s productivity, collaboration, and document creation tool by scaling user access and maintain security and compliance across its Adobe environment. The licenses will integrate with existing County systems and support workflow process. The enterprise agreement includes Department of Information Technology, Public Works, Employment and Human Services, and Health Services Department and will be used on an as-needed basis throughout the contract term to support departmental operational requirements and ensure uninterrupted service as existing Adobe licensing agreements expire.
Saitech, Inc. was awarded as the reseller through the formal solicitation process. The solicitation was issued to evaluate and select a vendor capable of meeting the County’s requirements and operational needs. An evaluation committee reviewed all submitted proposals using established criteria, and Saitech, Inc. was determined to be the successful bidder.
The Adobe Agreement obligates the County to indemnify Adobe for County’s breach of the terms of the Agreement. Under the Agreement Adobe’s liability is limited to the amount paid by County under the Agreement in the 12 months before a claim, except for claims arising out of a breach of confidentiality, Adobe’s indemnity obligations under the Agreement, or a breach of the Buy American Act, which are limited to $3,000,000.
CONSEQUENCE OF NEGATIVE ACTION:
Allowing Adobe licensing to lapse would expose County departments to unnecessary security, operational, financial, and support risks. Renewing these licenses is essential to protecting County resources and maintaining reliable, secure business operations. Additionally, subscription costs will not be normalized over the next three years, reducing budget predictability and increasing the potential for uneven annual expenditures.
