RECOMMENDATIONS:

RATIFY the execution of a one-time purchase order with Henry Schein, Inc. in an amount not to exceed $90,261, the Standard Terms of Sale and Supplemental Terms and Conditions for the purchase of dental equipment, chairs and accessories for the West County Detention Facility at Contra Costa Regional Medical Center (CCRMC).

 

FISCAL IMPACT:

Approval of this action will result in a one-time expenditure of up to $90,261 and will be funded by the General Fund.

 

BACKGROUND:

The West County Detention Facility (WCDF) is launching a new site to support the West County Reentry Treatment and Housing (WRTH) program. This new facility will provide comprehensive medical services, including dental care, to support the health and rehabilitation needs of its residents. The WRTH program is designed to house up to 288 mental health (MH) inmates and will be staffed by dedicated detention medical personnel. As part of the site’s operational readiness, the program requires the procurement of dental equipment to establish a fully functional dental office within the facility.

 

Henry Schein’s Standard Terms of Sale include a liability clause stating that any claims related to loss, injury, damage, or death resulting from the use or sale of a product must be directed solely to the product’s manufacturer. Henry Schein disclaims responsibility for such claims. Additionally, the agreement specifies that Henry Schein will not be liable for any indirect, incidental, punitive, special, or consequential damages, including but not limited to lost profits or loss of goodwill. This applies to any breach of the agreement or common law duties, regardless of whether the damages were caused by negligence, and even if Henry Schein was notified of the potential for such damages.

 

On January 14, 2025 the Board of Supervisors approved agenda item C.32 which authorized the Purchasing Agent to execute multiple purchase orders for furniture, fixtures and equipment necessary to complete the WRTH project. This action did not include executing vendor agreements or accepting vendor terms and conditions.

 

Approval of this purchase would authorize the West County Detention Facility to proceed with the acquisition and installation of the required dental equipment to support the new WRTH program.

 

CONSEQUENCE OF NEGATIVE ACTION:

If this action is not approved, West County Detention Facility may face delays in opening the dental office, which could impact the timely delivery of essential oral health services to WRTH program participants.
