Report Title: Payment for Services Provided by Steris Corporation

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Auditor-Controller, or designee, to pay $41,161.20 to Steris Corporation, for the provision of repair and maintenance services to infection prevention equipment at Contra Costa Regional Medical Center (CCRMC) and Contra Costa Health Centers, during the period March 1, 2024 through May 31, 2024, as recommended by the Health Services Director.
FISCAL IMPACT:
Approval of this payment will result in a one-time expenditure of up to $41,161.20 and will be funded 100% by Hospital Enterprise Fund I revenues.
BACKGROUND:
CCRMC and Contra Costa Health Centers have an obligation to provide essential health care services in its facilities and has contracted with Steris Corporation for its maintenance and repair services for County’s infection prevention equipment since June 2019. Contractor’s professional and reliable scheduled maintenance services and emergency repair availability when requested have proven to be an asset to County’s crucial services by providing the essential maintenance services that keep medical equipment at the ready when infection prevention medical equipment is required in a reliable and effective manner.
This Contract is entered into under and subject to the following legal authorities: California Government Code §§ 26227 and 31000; Health and Safety Code § 1451. Health Services Personnel approved this Contract to ensure no conflicts with labor relations. This Contractor has been approved by the Public Works Department’s Purchasing Division on August 14, 2024.
On March 23, 2021, the Board of Supervisors approved Contract #76-644-2 with Steris Corporation, in an amount not to exceed $614,992, to provide repair and maintenance services of infection prevention equipment at CCRMC and Contra Costa Health Centers, for June 1, 2021 through May 31, 2024.
On March 26, 2024, the Board of Supervisors approved Contract Amendment #76-644-4 with Steris Corporation, effective May 31, 2024, to increase the payment limit from $614,992 to a new payment limit of $718,992 and extend the termination date through November 30, 2024 for additional repair and maintenance of infection prevention equipment at CCRMC and Contra Costa Health Centers.
Due to an administrative oversight by the division, Contract Amendment #76-644-4 was executed with an effective date of May 2024 which should have been March 2024 to include additional repair and maintenance services for the infection prevention equipment at CCRMC and Contra Costa Health Centers provided during the months of March 2024 though May 2024. The Contractor provided these services in good faith which exceeded the original payment limit by $41,161.20.
Therefore, the County has determined that Steris Corporation is entitled to payment for the reasonable value of their services under the equitable relief theory of quantum meruit. That theory provides that where a person has been asked to provide services without a valid contract, and the provider does so to the benefit of the recipient, the provider is entitled to recover the reasonable value of those services. As such, the Department recommends that the Board authorize the Auditor-Controller to issue a one-time payment not to exceed $41,161.20 to Steris Corporation.
CONSEQUENCE OF NEGATIVE ACTION:
If this payment is not approved, the Contractor will not be paid for services requested by CCRMC and Contra Costa Health Centers provided by Contractor in good faith.
