RECOMMENDATIONS:

 

APPROVE and AUTHORIZE the Chief Information Officer, or designee, to execute an amendment to the Cloudwick Master Services Agreement (MSA), dated December 18, 2025, with Cloudwick Technologies, Inc., to incorporate updated contract terms as negotiated by the Department of Information Technology and required by County policy, effective upon Board approval, as recommended by the County Administrator.

 

APPROVE and AUTHORIZE future purchase orders for SOWs with Cloudwick Technologies, Inc. pursuant to the terms of the MSA, provided that each purchase order includes a payment limit of $200,000 or less, and the terms of the MSA have not substantially changed.

 

FISCAL IMPACT:

 

The costs for the purchases through Cloudwick will be borne by each County department requesting services through Cloudwick.

 

BACKGROUND:

 

The Department of Information Technology (DoIT) has partnered with Cloudwick Technologies, Inc. to implement an artificial intelligence-powered case planning automation system for the Animal Services Department. This initiative is designed to modernize animal pathway planning, improve operational efficiency, and enhance data-driven decision-making within the department. The system leverages Cloudwick’s Amorphic Basic platform, which provides comprehensive access to data, automation, and AI capabilities tailored to the County’s operational needs.

 

The original contract with Cloudwick Technologies, Inc. was established following a review of available solutions that could meet the County’s requirements for automation, scalability, and compliance with County IT standards. Cloudwick was selected based on its demonstrated expertise in delivering AI-driven automation platforms and its ability to support rapid deployment and integration with existing County systems. The contract was structured under a Master Services Agreement (MSA) and End User License Agreement, which set forth the terms for service delivery, mutual indemnification, and user access.

 

Since the initial implementation, the Cloudwick system has become integral to the Animal Services Department’s operations, supporting both daily case management and long-term planning objectives. The need to execute an amendment to the Cloudwick MSA arises from the ongoing evolution of service requirements and the necessity to ensure that contractual terms remain aligned with current operational practices and County policy. Amendments to MSAs are a standard mechanism for updating contract terms to reflect changes in technology, service scope, or regulatory requirements, and are executed in accordance with County contracting policies and procedures.

 

The proposed amendment is intended to ensure the continuity of critical automation services and to provide the flexibility needed to address emerging needs as identified by the Department and DoIT. Supporting documentation, including the original contract and relevant policy references, is maintained on file with the Department of Information Technology for Board and administrative review.

 

CONSEQUENCE OF NEGATIVE ACTION:

 

Failure to approve the amendment to the Cloudwick Master Services Agreement will disrupt the Animal Services Department’s access to essential case planning automation services, resulting in the loss of AI-driven operational capabilities that are now embedded in daily workflows and long-term planning. This interruption would require the Department of Information Technology to initiate contingency measures, potentially leading to manual processing, reduced efficiency, and diminished service quality for animal case management.
