Report Title: Cancellation Agreement #77-477-2 and Contract # 77-477-3 with EZ Ride LLC

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County, as follows: (1) Cancellation Agreement #77-477-2 with EZ Ride LLC, a limited liability company, effective on the end of business on May 31, 2024; and (2) Contract #77-477-3 with EZ Ride LLC, a limited liability company, in an amount not to exceed $800,000, to provide non-emergency medical transportation (NEMT) and non-medical transportation (NMT) services for Contra Costa Health Plan (CCHP) members and county recipients, for the period June 1, 2024 through May 31, 2026.
FISCAL IMPACT:
Approval of this contract will result in contractual service expenditures of up to $800,000 over a two-year period and will be funded 100% by CCHP Enterprise Fund II revenues. (Rate increase)
BACKGROUND:
CCHP has an obligation to provide certain NEMT and NMT services for its members under the terms of their Individual and Group Health Plan membership contracts with the county. This contractor has been part of the CCHP Provider Network providing NEMT and NMT services and fostering a deep understanding of the CCHP organizations mission, values, and long-term objectives since July 1, 2022. This contract is entered into under and subject to the following legal authorities: California Government Code §§ 26227 and 31000; Health and Safety Code § 1451. Health Services Personnel approved this contract to ensure no conflicts with labor relations. This contractor currently cooperates with and participates in CCHP’s Quality Management Program which consists of quality improvement activities to improve the quality of care and services and member experience. Cooperation includes collection and evaluation of performance measurement data and participation in the organization’s clinical and service measure Quality Improvement Programs. These contracted services were determined to be exempt from Administrative Bulletin 600.3 solicitation requirements by the Public Works Department’s Purchasing Division.
On June 21, 2022, the Board of Supervisors approved Contract #77-477 with EZ Ride LLC, in an amount not to exceed $300,000, for the provision of NEMT services for CCHP members and county recipients, for the period July 1, 2022 through June 30, 2024.
On April 4, 2023 the Board of Supervisors approved Contract Amendment #77-477-1 with EZ Ride LLC, effective April 1, 2023 to include the provision of NMT services, with no change in the payment limit of $300,000 and no change in the original term of July 1, 2022 through June 30 2024.
In consideration of contractor’s agreement to continue providing services, both parties have agreed to re-negotiate the contract payment provisions and the term to reflect the intent of the parties. Therefore, in accordance with General Conditions Paragraph 5 (Termination), of the contract, the department and contractor have agreed to a mutual cancellation of this contract. Approval of Cancellation Agreement #77-477-2 will accomplish this termination.
Approval of Contract #77-477-3, will allow the contractor to continue providing NEMT and NMT services for CCHP members and county recipients through May 31, 2026.
CONSEQUENCE OF NEGATIVE ACTION:
If this contract is not approved certain specialized NEMT and NMT services for CCHP members under the terms of their Individual and Group Health Plan membership contracts with the county will not be provided and services may be delayed.
