Report Title: Purchase Order with Quench USA, Inc.
Recommendation: Recommendation of the County Administrator

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, a purchase order with Quench USA, Inc., in an amount not to exceed $5,000 and a rental agreement for filtered drinking water for Delta Landing effective the date the last piece of equipment is installed and for an initial twelve (12)-month term and then automatically renew monthly.
FISCAL IMPACT:
Approval of this action will result in expenditures of up to $5,000 and will be funded 100% by California Housing and Homelessness Incentive Program (HHIP).
BACKGROUND:
Delta Landing Shelter provides emergency shelter and interim, non-congregate housing for single adults or couples. In addition to providing basic needs of shelter, shower, food, and clothing, the program includes care coordination and housing location services assisting residents with move-in and short-term rental assistance where appropriate. In addition to housing, employment, and clinical support services, the program offers on-site health care services provided by the county and linkages to legal aid and other social and human resource services.
In early June, Health, Housing, and Homeless Services (H3) assumed responsibility for operating the shelter after the former property management contractor unexpectedly terminated its contract, effective May 31, 2026. Since then, H3 has been working to address several operational and facility issues inherited from the former management, including the distribution of filtered drinking water to residents.
This Agreement requires the County to defend, indemnify, and hold harmless Quench USA, Inc. from and against any and all claims, losses, liabilities, damages, and expenses, including attorneys’ fees (Losses), arising out of or relating to Customer’s use, operation, possession, or maintenance of the Equipment, Equipment installation, or this Agreement, or the failure of any connection to or from the Equipment (including any supply lines enabling such connection), or any claim, demand, action or proceeding initiated by any third party arising out of the foregoing, and Company shall have no liability for any such Losses, including those arising from its own negligence, except to the extent arising from the intentional misconduct or illegal acts of Quench USA, Inc.
CONSEQUENCE OF NEGATIVE ACTION:
Failure to approve this purchase order would cause undue hardship for the vulnerable population residing at Delta Landing as there are no current on-site sources of filtered drinking water for clients.
