Report Title:                     Order Form #23-898 Inovalon Provider, Inc.

Recommendation of the County Administrator Recommendation of Board Committee

 

RECOMMENDATIONS:

APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County an Order Form #23-898 with Inovalon Provider, Inc., a corporation, in an amount not to exceed $442,739, for a clinical drug surveillance and patient care management software solution for Contra Costa Regional Medical Center’s (CCRMC) Pharmacy for the period from January 1, 2026 through December 31, 2030, and for successive one (1) year terms thereafter until terminated.

 

FISCAL IMPACT:

Approval of this Order Form will result in contractual service expenditures of up to $442,739, over a five-year period and will be funded 100% by Hospital Enterprise Fund I.

 

BACKGROUND:

This Contract meets the needs of CCRMC Pharmacy by providing a clinical drug surveillance and patient safety solution and (related) services designed to identify opportunities to avoid or minimize patient harm, improve safety, and communicate with providers regarding necessary changes in dosage and prescription drug validation. Inovalon’s VigiLanz, provides clinical surveillance, patient safety, and related clinical data connectivity utilized by pharmacy’s to directly care for patients and communicate with providers to make necessary changes in prescription drug or dosage by optimizing patient specific dosage calculations using validated drug models and patient data, ensuring precise individualized dosage while adhering to clinical polices.  Vigilanz, a module of InavolaonOne® Platform, a data-driven, cloud-based Software as a Service (SaaS) solution that enables healthcare organizations to improve clinical outcomes and economics by bringing together national-scale connectivity, real-time primary source data access, and advanced analytics, utilized by CCRMC Pharmacy for compressive, real-time decision support regarding patient care and management to satisfy clinical, operational, and regulatory requirements

 

This Contractor was approved by the Public Works Department's Purchasing Division on October 22, 2025; a summary of service contract deliverables includes configuration, implementation, ongoing monitoring, management of the SaaS, and telephone support.  This Contract was approved by Health Services Personnel to ensure there is no conflict with labor relations.

                     

On August 5, 2025, the Board of Supervisors approved execution of  (1) a Software and Service Agreement and (2) an Order Form, (County Contract #23-867) with Inovalon Provider, Inc., in an amount not to exceed $52,000, for the provision of Medicare eligibility data management software and services for Contra Costa Health for the period June 10, 2025 through March 31, 2027, and for successive 12-month terms until terminated. 

 

Under this County Contract #23-898, the parties will execute an Order Form under the existing Software and Service Agreement with Inovalon (County Contract #23-867, including mutual indemnification, the County's Health Insurance Portability and Accountability (HIPAA) Business Associate Addendum (BAA)). Under the Software and Service Agreement, Inovalon’s liability for a breach of Protected Health Information is limited to $2,000,000. The Software and Service Agreement will automatically renew for additional one (1) year terms unless terminated as provided under the terms of the contract, or when no active Order Forms are in effect (per term specified in each Order Form). Under the Contract, the County is obligated to indemnify Inovalon for third-party claims arising out of the County’s negligent performance of the agreement.

 

Approval of this Order Form #23-898 will allow the Contractor to provide patient care management software and services through December 31, 2030. Thereafter, the Order Form renews for successive one (1) year terms until terminated under the agreement. The Division is requesting a retroactive effective date for this Order Form due to delays caused by negotiations between the parties.

 

CONSEQUENCE OF NEGATIVE ACTION:

If this Order Form is not approved, CCRMC Pharmacy will lose access to its real-time patient safety monitoring suite utilized by clinical pharmacists to conduct more thorough medication real-time oversight to identify, anticipate and prevent adverse drug events, resulting in a negative impact on patient safety and care.
