Report Title:                     Amendment #23-700-2 to Software and Services Agreement with Healthcare Source HR, Inc.

RECOMMENDATIONS:

APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County Amendment No. 2 (#23-700-2) with Healthcare Source HR, Inc., a corporation,  effective March  1, 2024, to amend Software and Services Agreement  #23-700 (as amended by #23-700-1), to increase the payment limit by $240,000, from $401,895 to a new payment limit of $641,895 and extend the termination date to March 1, 2026, and for successive (1) year terms thereafter for additional software licenses for NetLearning for Contra Costa Health (CCH).

 

FISCAL IMPACT:

Approval of this amendment will result in additional annual expenditures of up to $240,000 and will be funded as budgeted by the department in FY 2024-26, by 100% Hospital Enterprise Fund I revenues.

 

BACKGROUND:

Healthcare Source HR, Inc. provides CCH continuing medical education software. Healthcare Source HR, Inc.'s NetLearning and Premium eLearning library meet the learning and development needs of CCH staff by providing skill assessment and e-learning for medical staff orientation and annual competency recertification assessments. The NetCompetency module allows CCH access to, assess, record, track, and report staff competencies through validation, including direct observation, demonstration, verbalization, and employee-provided evidence. NetCompetency provides hands-on skills assessment and a dictionary of about 1500 healthcare competencies with over 8700 skills.

 

Healthcare Source HR, Inc., has provided software and support to CCH for its NetLearning and NetCompetency web-based software applications since 2021. This contractor was approved by the Public Works Department’s Purchasing Division on April 1, 2024. A summary of service contract deliverables includes target software availability of 99.5%, administrative and user support by phone, email, and online, and contractor’s response time by severity level. This contract was approved by Health Services Personnel to ensure there is no conflict with labor relations.

 

On March 2, 2021, the Board of Supervisors approved Contract #23-700 with Healthcare Source HR for licensing the NetLearning system and Premium eLearning Library for the period from March 2, 2021, through March 1, 2024. 

 

On September 21, 2021, the Board of Supervisors approved Amendment #23-700-1 with Healthcare Source, to add its NetCompetency software module to the NetLearning software and eLearning library and increase the payment limit by $131,740 to a new payment limit of $401,895 with no change in the term.

 

Under this Amendment No. 2, the parties will amend the termination date of the contract to an initial renewal term through March 1, 2026, thereafter, the Agreement will automatically renew for successive (1) year terms (each a “Subsequent Renewal Term”) until terminated. The division is requesting a retroactive date for this amendment due to delays caused by the contractor providing an accurate quote in a timely manner.

 

CONSEQUENCE OF NEGATIVE ACTION:

 If this amendment is not approved, CCHS will not be able to record, track, and report mandatory     clinical education and clinical competency requirements of staff in a single system.
