Report Title: Purchase Order with Elevate Healthcare, Inc.

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute on behalf of the Health Services Director, a purchase order with Elevate Healthcare, Inc. in an amount not to exceed $8,153 and ACCEPT their Healthcare Education Products General Terms and Conditions (HEPGTC), End User License Agreement, and Support and Maintenance Agreement to purchase a warranty for an Advanced Cardiac Life Support Learning Module for Ares Manual Mode for Contra Costa Regional Medical Center (CCRMC), for the period from March 21, 2025 through March 20, 2027.
FISCAL IMPACT:
Approval of this action will result in a one-time expenditure of up to $8,153 and will be funded by Hospital Enterprise Fund I revenues.
BACKGROUND:
Elevate Healthcare, Inc. is a medical simulation and education company that provides training equipment, software, and services to improve clinical skills and patient outcomes.
In 2021, CCRMC purchased the Advanced Cardiac Life Support (ACLS) Learning Module for Ares Manual Mode on purchase order #23982, which included a three-year warranty. This module, provided by Elevate Healthcare, features 11 simulated clinical experiences aligned with the 2015 American Heart Association (AHA) Guidelines. These scenarios are specifically designed to enhance training in advanced cardiac life support protocols using the Ares emergency care simulator. The Ares simulator is a mid-fidelity patient simulator equipped with realistic features, including muscle injection sites, a functional breathing system, and an airway capable of intubation. It also supports two-way communication between mankind and learners, enabling the simulation of a wide range of emergency care scenarios, including those pertinent to ACLS training.
The cumulative liability of Elevate Healthcare to CCRMC for all claims arising under or related to this agreement, whether in contract, tort, or otherwise, shall not exceed the maintenance or warranty fees paid to Elevate Healthcare within the prior year. Elevate Healthcare shall not be liable to CCRMC for any consequential or special damages, including damages for negligence, breach of warranty, or the cost of removal, transportation, or reinstallation of defective or replacement goods. Additionally, the terms and conditions require the County to indemnify Elevate Healthcare, Inc. from any claims.
CCRMC intends to extend the warranty for the ACLS Learning Module purchased with Elevate by an additional two years, however, delays were encountered due to extended negotiations with the vendor. During that time the department encountered a need for servicing on the module, however, since the initial three-year warranty has expired the vendor will not cover parts and repairs until the warranty renewal is finalized. Approval of this action will allow CCRMC to purchase the renewal warranty through March 20, 2027 and ensure that CCRMC has the necessary resources and training tools to maintain compliance with current ACLS standards and support ongoing clinical education. CCRMC will continue to monitor the status of contract reviews and warranty renewals, collaborating closely with the relevant departments to ensure timely action and prevent delays in the future.
CONSEQUENCE OF NEGATIVE ACTION:
If this action is not approved, CCRMC will face delays in staff training, potential gaps in compliance with ACLS standards, and reduced readiness for critical clinical situations.
