Report Title:                     Amendment to Purchase Order with Baker & Taylor, LLC Through October 31, 2025

RECOMMENDATIONS:

APPROVE and AUTHORIZE the Purchasing Agent to execute, on behalf of the County Librarian, a purchase order amendment with Baker & Taylor, LLC, to reduce the term from June 30, 2028 to October 1, 2025, and decrease the payment limit by $8,547,000 to a new payment limit of $453,000 to provide library books.

 

FISCAL IMPACT:

100% Library Fund

 

BACKGROUND:

On May 13, 2025, the Board authorized a three-year purchase order effective July 1, 2025 through June 30, 2028 with Baker & Taylor, LLC, in an amount not to exceed $9,000,000. The Library, instead, respectfully requests to amend the Purchase Order to be effective April 1, 2025 through October 31, 2025, and to and reduce the payment limit by $8,547,000 to an amount not to exceed $453,000 due to the closure of Baker & Taylor, LLC and the company’s inability to fulfil orders.

 

CONSEQUENCE OF NEGATIVE ACTION:

If the Purchase Order amendment is not approved the Purchase Order in the amount of $9,000,000 will remain open until June 30, 2028, which creates contractual ambiguity and would not comply with County procedures.
