Report Title: Purchase Order and Related Software License Agreement with Cellebrite, Inc.

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent or designee to execute, on behalf of the District Attorney, a purchase order and related license agreement with Cellebrite, Inc., in an amount not to exceed $153,091 for accessing software licenses to unlock smartphones for investigative purposes, for the period December 1, 2025 through November 26, 2028.
FISCAL IMPACT:
Approval of this action will result in expenditures of up to $153,091 over three fiscal years and is 100% funded by the County General Fund, of which $49,600 is budgeted in FY 2025-26, $50,500 will be budgeted in FY2026-27, and $52,991 will be budgeted in FY2027-28.
BACKGROUND:
The District Attorney’s Office utilizes Cellebrite, Inc., a provider of digital forensics technology, to support investigative efforts involving mobile devices. Cellebrite, Inc.’s platform enables authorized personnel to securely access and analyze data from locked cell phones that is relevant to investigations. Additionally, the software organizes and presents information in a clear and readable format, which assists prosecutors in case preparation and courtroom proceedings.
The Software License Agreement includes a limitation of liability and indemnification clause, under which the County agrees to hold Cellebrite, Inc., harmless from any claims arising out of the performance under this agreement.
CONSEQUENCE OF NEGATIVE ACTION:
Without executing the Purchase Order and related Software License Agreement with Cellebrite, Inc., the District Attorney’s Office will be unable to use a powerful software essential for investigations and courtroom proceedings.
