Report Title: Purchase Order and Related Software License Agreement with Zoom Communications, Inc.

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent or designee to execute, on behalf of the District Attorney, a purchase order and related license agreement with Zoom Communications, Inc. in an amount not to exceed $8,387 for virtual meetings and large-scale virtual events, for the period July 1, 2025 through June 30, 2026.
FISCAL IMPACT:
Approval of this action will result in expenditures up to $8,387 which have been included in the Department’s FY 25-26 Budget.
BACKGROUND:
The District Attorney’s Office uses a cloud-based tool from Zoom Communications, Inc. to conduct secure virtual meetings for case discussions and inter-agency coordination and to host large-scale virtual events for public forums, community outreach and trainings.
Approval of the Purchase Order and related Software License Agreement will allow the District Attorney’s Office to continue using this tool for virtual meetings and large-scale virtual events for up to 500 attendees. This Software License Agreement includes limitation of liability and indemnification under which the County agrees to hold Zoom Communications, Inc. harmless from any claims arising out of the performance under this agreement.
CONSEQUENCE OF NEGATIVE ACTION:
Without executing the Purchase Order and related Software License Agreement with Zoom Communications, Inc, the District Attorney’s Office cannot continue using this tool for virtual meetings or hosting large-scale virtual events to ensure continuity of operations, promote public transparency, and enhance collaboration across justice partners, staff and members of the community.
