RECOMMENDATIONS:

APPROVE and AUTHORIZE the County Counsel, or designee, to execute, a sixth amended and restated legal services contract, effective December 9, 2025, among Soluri Meserve, a Law Corporation, and the Counties of Contra Costa, Solano, and San Joaquin, to pay the firm an amount not to exceed $67,500 in each of 2026, 2027, and 2028, for a total contract payment limit of $659,000, for the firm's legal work for the Delta Counties Coalition through December 31, 2028.

FISCAL IMPACT:

Water Agency funds will be used to pay Contra Costa's share of attorney's fees and expenses charged by the firm, not to exceed $22,500 annually, for Delta Counties Coalition legal work through December 31, 2028.

BACKGROUND:

Osha Meserve of the law firm Soluri Meserve has represented the Counties of Contra Costa, Sacramento, San Joaquin, and Solano on Delta Counties Coalition matters, including non-litigation legal and policy matters connected with the State's proposed Delta Conveyance Project. Contra Costa, San Joaquin, and Solano Counties contract with the firm under this legal services contract; Sacramento County has a separate contract with the firm. Both contracts include terms governing the division of the firm's fees among all four agencies when the firm performs work on behalf of the DCC counties.

This sixth amended and restated legal services contract among the firm and Contra Costa, San Joaquin, and Solano Counties includes the following changes: extends the contract termination date from December 31, 2025, to December 31, 2028; increases the contract payment limit from $456,500, to a new payment limit of $659,000, with an annual payment limit of $67,500 for each calendar year the contract is in...
