Report Title:                     Purchase Order and Related Software License Agreement with Foxit Software Inc.

Recommendation of the County Administrator Recommendation of Board Committee

 

RECOMMENDATIONS:

APPROVE and AUTHORIZE the Purchasing Agent or designee to execute, on behalf of the District Attorney, a purchase order and related license agreement with Foxit Software, Inc. through R-Computer, in an amount not to exceed $28,745 for perpetual Foxit PDF software volume tier licenses to be effective March 18, 2026 with no expiration date.

 

FISCAL IMPACT:

Approval of this action will result in expenditures up to $28,745 which have been included in the Department’s FY25-26 Budget.

 

BACKGROUND:

The District Attorney’s Office utilizes a core document control and compliance tool provided by Foxit Software, Inc. to support litigation preparation, statutory disclosure requirements, records security, and administrative efficiency within a prosecutorial environment.

 

Approval of the purchase order and the related Software License Agreement will allow the District Attorney’s Office to continue using this document control and compliance tool. The Software License Agreement includes a warranty disclaimer, a limitation of liability and indemnification under which the County agrees to hold Foxit Software, Inc., harmless from any claims arising out of the performance under this agreement.

 

CONSEQUENCE OF NEGATIVE ACTION:

Without executing the purchase order and the related Software License Agreement with Foxit Software, Inc., the District Attorney’s Office will be unable to continue using this essential document control and compliance tool.
