Report Title: Purchase Order and Related Terms of Use Agreement with Baressays.com LLC.

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent or designee to execute, on behalf of the District Attorney, a purchase order and related terms of use agreement with Baressays.com LLC, in an amount not to exceed $1,575 for the usage of a legal study tool for the period June 1, 2026 through May 31, 2027.
FISCAL IMPACT:
Approval of this action will result in expenditures of up to $1,575 which will be included in the Department’s FY26-27 Budget.
BACKGROUND:
The District Attorney’s Office provides users with access to the Baressays.com LLC legal study platform, which is designed to improve legal writings through example-based learning. Approval of the Terms of Use Agreement will allow the District Attorney’s Office to continue to use this legal study platform.
The Terms of Use Agreement includes limitation of liability and indemnification under which the County agrees to hold Baressays.com harmless from any claims arising out of the performance under this agreement.
CONSEQUENCE OF NEGATIVE ACTION:
Without executing the purchase order and the related terms of use agreement with Bareessays.com LLC, the District Attorney’s Office cannot provide users access to essential legal study resources.
