Report Title: Terms of Service Agreement with Zoom Video Communications, Inc.

RECOMMENDATIONS:
APPROVE and AUTHORIZE the Purchasing Agent, or designee, to execute, on behalf of the District Attorney, a purchase order with Zoom Video Communications, Inc. in an amount not to exceed $7,257 for the usage of Zoom virtual meeting software for the period June 6, 2024 through June 5, 2025.
FISCAL IMPACT:
Approval of this action will result in expenditures of up to $7,257 which is included in the departmental budget.
BACKGROUND:
The District Attorney’s Office needs to purchase annual software subscriptions to utilize Zoom virtual meeting software to host and participate in virtual meetings on the Zoom platform. This Terms of Service Agreement includes limitation on liability and indemnification for the County to hold Zoom Video Communications, Inc. and its affiliates harmless from any claims arising out of the performance under this agreement.
CONSEQUENCE OF NEGATIVE ACTION:
Without executing the Terms of Service Agreement with Zoom Video Communications, Inc., the District Attorney’s Office cannot utilize the Zoom software for hosting and participating in virtual meetings held on the Zoom platform.
