RECOMMENDATIONS:
APPROVE and AUTHORIZE the Auditor-Controller, or designee, on behalf of the Treasurer-Tax Collector, to pay $240.00 to Stericycle, Inc. for secured mobile paper shredding services from December 1, 2024 through May 31, 2025, as recommended by the Treasurer-Tax Collector.
FISCAL IMPACT:
The $240.00 payment will be funded 100% by General Fund revenues.
BACKGROUND:
The Treasurer-Tax Collector Department ("the Department") used Stericycle, Inc. to provide secure mobile paper shredding services. The department originally contracted with Shred-it USA, Inc. for these shredding services, under a contract that expired on February 28, 2019. During the term of that contract, Shred-it USA, Inc. was acquired by Stericycle, Inc. Though the contract for services expired, Stericycle, Inc. continued the services without interruption. Payments for these services were made through April 30, 2024, pursuant to blanket purchase orders. In December, the Department received approval to pay invoices from May 1, 2024 to November 30, 2024.
The Department engaged in efforts to negotiate an agreement with Stericycle, Inc. for the period of December 1, 2024 onward but was unsuccessful. With respect to the services that Stericycle, Inc. provided between December 1, 2024 through May 31, 2025, the Auditor-Controller may be authorized to make payments for the reasonable value of Stericycle, Inc.'s services under the equitable relief theory of quantum meruit.
