Report Title: Approval of Mutual Termination Agreement

RECOMMENDATIONS:
APPROVE and Authorize the Health Services Director, or designee, to sign the Mutual Termination Agreement between the County on behalf of Contra Costa Health Plan (CCHP) and Omatochi Corporation effective June 1, 2026.
FISCAL IMPACT:
There is no fiscal impact for this action.
BACKGROUND:
In November 2023, CCHP entered into a Memorandum of Understanding (MOU) with Omatochi Corporation to provide non-clinical Enhanced Care Management services. CCHP issued a notice terminating the agreement effective June 17, 2025.
This action approves a Mutual Termination Agreement that rescinds the prior termination notice and mutually terminates the Memorandum of Understanding as of June 17, 2025, on a no-fault basis with a limited mutual waiver and release of claims by all parties.
CONSEQUENCE OF NEGATIVE ACTION:
If this action is not approved, the parties’ mutual termination agreement will not take effect.
