RECOMMENDATIONS:
APPROVE and AUTHORIZE the Chief Information Officer, or designee, to execute a contract with DocuSign, Inc., under the existing Master Services Agreement dated December 15, 2020, in an amount not to exceed $225,000 to provide DocuSign eSignature Enterprise Pro licenses for electronic signature services for the period of December 15, 2023, through July 14, 2025.

FISCAL IMPACT:
The cost for this will be recovered through charges to user departments. (100% User Departments)

BACKGROUND:
When the County declared a shelter-in-place in March 2020, the County Administrator's Office in conjunction with the Department of Information Technology performed informal research to determine the most effective way to conduct vital County business in a remote manner. After numerous discussions, DocuSign, as an industry leader, was chosen as the vendor to provide an eSignature solution as well as a Contract Lifecycle Management (CLM) solution.
In December 2020, the County entered into an agreement with DocuSign to provide eSignature functionality and a Contract Lifecycle Management (CLM) solution for streamlining paper heavy manual signature processes. The eSignature solution allows documents to be routed, reviewed, and signed utilizing the eSignature software and the CLM solution was slated to allow County departments to generate and transmit professional service contracts electronically. In November of 2023, the Chief Information Officer informed Department Heads of the decision to terminate the CLM subscription with DocuSign but to retain the eSignature software subscription.
